OBJECTIVES

When writing contracts, one size does not fit all. Supply management professionals often face situations that require customized contracts. This seminar enhances your foundation of contract knowledge and enables you to construct more effective agreements. This course includes numerous contracts clauses and their uses. Emphasis is on customizing clauses to accommodate specific situations and needs. Key contracting situations include services, software, construction and electronic commerce. The course also addresses contracts from a global perspective and deals with international considerations.

Who Should Attend

Experienced purchasing and supply management professionals who desire to increase their skills and knowledge of how to analyze and draft various types of contracts. Participants should have fundamental knowledge of business contracts, purchasing law and the UCC prior to attending this seminar. Suggested prerequisites: Contract Writing Basics: What All the Ts and Cs Mean and/or Purchasing and the Law: The Basics You Need to Succeed.

  • Design and construction contracts; Pricing options and terms; Liability, indemnity and insurance; Mechanics’ liens; Use of liquidated damages and other remedies to ensure performance; Dispute clauses
  • Confidentiality/non-disclosure agreements
  • Glossary of contract terms
  • Dealing with salespeople; How to protect your organization from salespeople who do not deliver what they promise
  • Technology and its effect on contracting; E-procurement and the contracting process
  • Exercises in drafting and analyzing contracts
